Public Donation Offer — Vladimir Spivakov Foundation

1. Meaning of this public offer

1.1. This public offer (the “Offer”) is a proposal by the non-profit organisation “Vladimir Spivakov International Charity Foundation” (the “Foundation”) to conclude a donation agreement (the “Agreement”) on the terms set out below with any citizen of the Russian Federation who responds to the Offer (the “Donor”).

1.2. The Offer is addressed exclusively to citizens of the Russian Federation.

1.3. The Offer is a public offer within the meaning of Article 437(2) of the Civil Code of the Russian Federation.

1.4. The Offer takes effect on the day following the day it is published on the Foundation’s website at https://spivakov.ru (the “Website”).

1.5. The Offer is open-ended. The Foundation may withdraw the Offer at any time without giving reasons. Amendments and additions may be made to the Offer and take effect on the day following the day they are published on the Website. If one or more provisions of the Offer are invalid, this does not render the remaining provisions invalid.

1.6. The place of publication of the Offer and the place of conclusion of the Agreement is the city of Moscow, Russian Federation.

1.7. This Offer is governed by and construed in accordance with the law of the Russian Federation.

1.8. By accepting the Offer the Donor consents to receiving newsletters from the Foundation, which may be unsubscribed from at any time.

2. Terms of the Agreement

2.1. The Donor transfers to the Foundation, free of charge and into its ownership, a sum of money determined by the Donor for the purposes set out in clause 2.2 of the Offer.

2.2. Purpose of the donation: a charitable contribution towards statutory purposes — that is, the funding of the Foundation’s programmes and projects as defined by the objectives of its Charter, and the maintenance of the Foundation. In making a donation, the Donor agrees with this designation of the payment and accepts and shares the aims and objectives of the Foundation.

2.3. How the Agreement is concluded

2.3.1. The Agreement is concluded by the Donor accepting the Offer.

2.3.2. The Offer may be accepted by the Donor transferring funds (the Donation) to the Foundation using the bank details given in section 5 of the Offer, stating as the purpose of payment: charitable contribution towards statutory purposes.

2.3.3. Performance by the Donor of the actions set out in clause 3.2 of the Offer constitutes acceptance of the Offer within the meaning of Article 438(3) of the Civil Code of the Russian Federation.

2.3.4. The date of acceptance of the Offer, and therefore the date of conclusion of the Agreement, is the date on which the Donor’s funds are credited to the Foundation’s account.

2.4. Other provisions

2.4.1. The Foundation may decline a donation at any time before it is transferred, and within fifteen business days after it has been transferred. If the Foundation declines a donation after it has been transferred, it returns the donation within seven business days of the decision. In that case this Agreement is deemed terminated from the moment of the Foundation’s decision. If the donation cannot be returned to the Donor, it remains at the Foundation’s disposal.

2.4.2. By performing the actions set out in this Offer, the Donor confirms that he or she has read the terms and text of this Offer and the aims of the Foundation, understands the meaning of his or her actions, is fully entitled to perform them and accepts the terms of this Offer in full.

2.4.3. In accordance with Federal Law No. 152-FZ “On Personal Data”, the Donor hereby consents to the processing of his or her personal data by any means not prohibited by law for the purposes of performing this Agreement.

2.4.4. The Donor understands that, following the entry into force of amendments to the Federal Law “On Non-Profit Organisations” concerning organisations performing the functions of a foreign agent, the receipt by the Foundation of funds from foreign sources may have adverse consequences for the Foundation.

2.4.5. The Donor hereby confirms that at the moment of accepting the Offer he or she is a citizen of the Russian Federation and is acting in his or her own name, at his or her own expense and in his or her own interest.

If it becomes known to the Foundation that at the moment of accepting the Offer the Donor was not a citizen of the Russian Federation, or was acting in the name of, at the expense of or in the interests of third parties, the Foundation is entitled to withdraw from the Agreement unilaterally and out of court, to return the funds received to the Donor and to claim compensation for the losses caused to the Foundation.
